Terms of Service

Welcome to UPVOR. These Terms of Service ("Terms") govern your access to and use of the UPVOR mobile application, websites, and related services (collectively, the "Service"), operated by Caudex Inc. ("UPVOR", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

• You must be at least 13 years old (or 16 in the European Economic Area) to use UPVOR.
• If you are under 18, you must have parental or legal guardian consent.
• You must not be barred from using the Service under the laws of your country or any other applicable jurisdiction.

2. Your Account

• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You must provide accurate information and keep it current.
• One person may not maintain multiple accounts to manipulate leaderboards or evade enforcement actions.
• You may delete your account at any time from the Settings screen.

3. Acceptable Use

You agree NOT to:

• Use bots, scripts, automated tools, or exploits to inflate your rank or badges.
• Buy, sell, trade, or transfer accounts, boosts, or in-game items outside the official Service.
• Harass, threaten, dox, or impersonate other users.
• Post hateful, sexually explicit, violent, or illegal content in clan chat, profile fields, or share cards.
• Reverse-engineer, decompile, or interfere with the Service.
• Use the Service to violate any law or third-party right.

We may suspend or terminate accounts that violate these rules, with or without notice. Repeat violations result in permanent bans.

4. In-App Purchases (Boosts, Cosmetics, Subscriptions)

• Purchases are entertainment products. Boosts increase your visibility and rank position; cosmetics change your profile appearance. They have no real-world monetary value and cannot be redeemed for cash.
• All purchases are processed by Apple App Store, Google Play Billing, or Stripe. The applicable platform's terms apply alongside ours.
• Refunds: refunds are handled by the platform that processed the purchase (Apple, Google, or Stripe). UPVOR cannot directly issue refunds for purchases made through Apple or Google.
• Subscriptions: auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Manage subscriptions in your App Store, Google Play, or Stripe account.
• Spending caps: we apply a daily and monthly spending cap to encourage responsible spending. You can view your current cap in the Settings screen.
• Prices are listed in your local currency and may include applicable taxes.

5. Virtual Items and Currency

Virtual items, in-app currency (XP), boosts, badges, and ranks are licensed to you for personal, non-commercial use only. They are not your property, have no real-world value, and cannot be exchanged outside the Service. We may modify, replace, or remove virtual items at any time.

6. User Content

You retain ownership of content you submit (avatars, clan names, chat messages, profile text). By submitting content, you grant UPVOR a worldwide, non-exclusive, royalty-free license to host, display, and use that content within the Service. You represent that you have the rights necessary to grant this license.

We may remove content that violates these Terms or is the subject of a valid takedown request.

7. Leaderboards and Seasons

Leaderboard rankings, badges, and season rewards are awarded based on user activity, purchases, and time-limited events. Rankings may reset at the end of a season. We reserve the right to adjust rankings to correct errors, remove cheaters, or maintain fairness.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by UPVOR or its licensors and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason — including violation of these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, dispute resolution) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPVOR AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID UPVOR IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 50, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless UPVOR and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Caudex Inc. is incorporated, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration on an individual basis. You waive any right to participate in a class action.
